MERGERS & ACQUISITIONS (M&A) CAREER - SWISS FINANCE STUDENTS LEARN M&A VALUATION, FINANCIAL MODELING, NEGOTATION STRATEGIES AS WELL AS CAPITAL MARKETS FUNDAMENTALS THAT FUNDAMENTALLY IMPACT M&A DEALS

Many Swiss Finance students are interested in working for an investment bank. Others are interested in learning how M&A deals originate, are processed and impact capital markets, so that they can make better investments decisions. Swiss Finance curriculum offers a rigorous training on mergers and acquisitions.

M&A Valuation, Trends and Players

Valuation is one of the core responsibilities of an investment banker. This module offers a rigorous and thorough understanding of corporate valuation from M&A standpoint. First, theory is taught and separated from real-life. Second, concepts are applied to actual company and divisional valuations using case studies and real life examples. Students learn about adjusted firm value, valuation discounts and premia (such as control premia and minority discounts), Sum-of-the-Parts valuation, mechanics of private equity, exit value considerations, leveraged buyouts including LBO debt market characteristics, Hybrid IDS, etc.

This segment involves building a financial model of a hypothetical client, performing sensitivity analysis and valuation, acquiring a target, and conducting related EPS calculations, including M&A accretion and dilution analysis. Template spreadsheets and related question papers are distributed at the appropriate time. The focus is on practical application of theory and on presentation of conclusions.

Summary

Although M&A has declined in the current economic cycle, there are opportunities in cross border transactions, in sovereign funds teams that seek to buy US and European players (financial acquirers) and in commodities sector. US and UK M&A professionals continue to seek opportunities in Hong Kong, Dubai and Latin America. Experienced professionals as well as entry level professionals need to understand the M&A financial modeling, transaction processing, advanced valuation topics, cross border taxation issues, negotiations and capital markets timing issues as these skills will increasingly become a pre-requisite to a successful recruitment.
